兩邊普遍承諾按下列條件簽署本和議 。
第1條設置
1．1　產物：本和議中所稱“產物” ， 系指由甲方創造并以其牌號出賣的（產物稱呼）和隨時經兩邊以書面承諾的其余商品 。
1．2　地域：本和議中所稱“地域” ， 系指_________國_______________________ 。

第2條　委派及法令聯系
2．1　委派：在本和議靈驗期內 ， 甲方委派乙方動作其代勞 ， 再不在“地域”獲致“產物”的訂單 。乙方承諾接收并接受此項委派 。
2．2　法令聯系：本和議賦予乙方的權力和權利限于于給于普遍代勞的權力和權利 ， 本和議不爆發其它任何聯系 ， 或賦予乙方以代辦甲方或使甲方受其它任何和議牽制的任何權力 ， 更加是 ， 本和議并不形成或萎任乙方為甲方的代辦 ， 雇員或共同人 。兩邊精確和領會并承諾 ， 在任何情景下 ， 乙方大概蒙受的任何丟失 ， 不管局部或十足 ， 甲方均不接受負擔 。
2．3　引導：乙方應莊重按照甲方隨時寄送的引導 。因為乙方勝過或違反甲方引導而形成的任何索取賠償、債務和負擔 ， 乙方應想法養護甲方便宜并補償甲方所以而蒙受的丟失 。
